1. Who we are

This website and any associated applications (together, the "Platform") are operated by DARWISE PROPERTIES L.L.C, a company licensed in Dubai, United Arab Emirates (Trade License No. 1634778, RERA Office Registration No. (ORN) 62940), with its registered office at Office 903-X15, Iris Bay, Business Bay, Dubai, United Arab Emirates ("Darwise", "we", "us"). Darwise is a licensed real estate brokerage regulated by the Dubai Land Department (DLD) and the Real Estate Regulatory Agency (RERA).

By accessing or using the Platform, you confirm that you are at least 18 years old and agree to these Terms of Service and our Privacy & Cookies Policy. If you do not agree, please do not use the Platform.

2. Nature of the information on this Platform

Property listings, prices, availability, images, floor plans, projected returns, and developer information are provided for general information only. They do not constitute an offer, solicitation, or commitment to sell, lease, or purchase any property, and they do not constitute legal, financial, tax, or investment advice.

Listing information is obtained from sellers, landlords, developers, and third-party sources. While we take reasonable care to keep it accurate and current, we do not warrant its accuracy, completeness, or availability, and it may change or be withdrawn without notice. You should verify all material information independently and obtain professional advice before making any decision to buy, sell, or lease property.

All property advertisements on this Platform are published under the applicable DLD advertising permit (Trakheesi) where required.

3. AI-assisted services and automated valuations

Darwise uses artificial intelligence to support its services, including responding to enquiries, matching properties to your requirements, generating market information and price estimates, and assisting our brokers in communications. You can request to speak with a human broker at any time.

Any valuation, price estimate, projected return, or market analysis generated by our tools is produced by automated data analytics using information you provide, public records, and third-party data sources. Such output: (a) is indicative and for general information only; (b) does not constitute an appraisal or valuation by a certified property valuer, nor legal, financial, tax, or investment advice; (c) may not reflect current market conditions or characteristics of a property beyond the data entered; and (d) is prepared solely for you and may not be relied upon by any third party to whom you disclose it, and we accept no liability to any such third party.

You are responsible for the accuracy and completeness of information you input. We are not liable for inaccurate or misleading outputs resulting from incorrect, incomplete, or outdated information you provide.

AI-generated content can contain errors. Any transaction is concluded exclusively through our licensed brokers and formal documentation (including applicable RERA forms), not through automated communications. We may modify, suspend, or discontinue any tool or feature at any time without notice.

4. Payments

As per the instructions of the Dubai Land Department, individual real estate agents are not authorized to receive any cash or funds transfer to their personal bank accounts. Payments must be made to the finance team of DARWISE PROPERTIES L.L.C, to the official bank account of DARWISE PROPERTIES L.L.C, or at the official Registration Trustee offices in the UAE.

Darwise confirms payments only through electronically generated receipts issued from finance@darwise.io. If anyone claiming to represent Darwise requests payment in any other manner, do not pay and contact us immediately at compliance@darwise.io.

5. Fees and commission

Brokerage fees and commissions are set out in the applicable agreements signed between the relevant parties to a transaction (including applicable RERA forms). Nothing on this Platform constitutes, varies, or forms part of any fee or commission arrangement.

6. Anti-money laundering and identity verification

As a Designated Non-Financial Business and Profession (DNFBP) under UAE law, Darwise is required to conduct customer due diligence on all transactions. Before entering into a transaction, you will be asked to provide identity documents (such as Emirates ID or passport) and information on your source of funds, and, where the client is a legal entity, information on its beneficial ownership. We may be required by law to report certain transactions to the UAE Financial Intelligence Unit and to retain records for the periods mandated by law. We may decline or suspend any transaction where our compliance requirements are not met.

7. Your use of the Platform

You agree not to misuse the Platform, including by scraping or bulk-extracting listing data, reverse engineering our systems, submitting false information, infringing intellectual property rights, or using the Platform for any unlawful purpose. We may suspend or terminate access for misuse.

8. Intellectual property

All content on the Platform, including text, design, software, images, and branding, is owned by or licensed to DARWISE PROPERTIES L.L.C and protected by applicable intellectual property laws. You may view, print, or download content for personal, non-commercial use only. Third-party trademarks, developer names, and project images are used for identification purposes only and remain the property of their respective owners; their appearance does not imply affiliation or endorsement.

9. Third-party links and services

The Platform may link to third-party websites and services (including developers, mortgage providers, and payment processors). These are provided for convenience only. We do not control and are not responsible for their content, terms, or privacy practices.

10. Forward-looking statements

Any statements regarding expected market performance, projected returns, development timelines, or future events are forward-looking, involve uncertainty, and are not guarantees. Actual outcomes may differ materially.

11. Limitation of liability

To the maximum extent permitted by applicable law, Darwise excludes all liability for any loss or damage (direct or indirect, including loss of profit or opportunity) arising from your use of, or inability to use, the Platform or your reliance on information published on it. Nothing in these terms excludes liability that cannot be excluded under UAE law, including liability arising from fraud.

12. Indemnity

You agree to indemnify Darwise and its officers, employees, and agents against claims, losses, and expenses arising from your breach of these terms or misuse of the Platform.

13. Changes

We may update these terms at any time by publishing the revised version on the Platform. Continued use after publication constitutes acceptance.

14. Waiver and severability

Our failure to enforce any provision of these terms is not a waiver of that provision or any other. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.

15. Notices and entire agreement

We may send legal notices to the contact details you provide; you are responsible for keeping them current. These terms, together with our Privacy & Cookies Policy and any signed brokerage agreement, constitute the entire agreement regarding your use of the Platform. In case of conflict, a signed brokerage agreement prevails over these terms.

16. Governing law and jurisdiction

These terms and your use of the Platform are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE.
